Product: PLANERGY AI™ 30-Day AI Workforce Accelerator
These Terms & Conditions govern an organisation's purchase and use of the PLANERGY AI™ 30-Day AI Workforce Accelerator.
By completing checkout on behalf of an organisation, the purchaser confirms that they are authorised to bind that organisation to these Terms.
1. About PLANERGY AI
PLANERGY AI™ is an organisational AI adoption and workforce development program provided by Planergy Productions Pty Ltd.
The program is designed to help participating organisations develop workforce AI capability, gather structured organisational evidence, identify potential opportunities for AI-enabled work improvement, and support evidence-informed implementation decisions.
PLANERGY AI provides a structured program, analysis and decision-support system. The client organisation remains responsible for its business, operational, workforce, professional and implementation decisions.
2. The client organisation
The organisation identified during checkout is the client under these Terms.
The person completing the purchase represents that they have authority to purchase the program and accept these Terms on behalf of that organisation.
Where billing information identifies a different legal entity, PLANERGY AI may seek clarification before provisioning or activation.
3. Purchaser and Authorising Contact
The person completing checkout is recorded as the Purchaser or Authorising Contact for the transaction.
The Purchaser or Authorising Contact is responsible for the commercial purchase and for providing accurate organisational and billing information.
The Purchaser or Authorising Contact may also act as Client Lead or may nominate another person to perform that role.
Where another person is nominated, PLANERGY AI may identify the nominating Purchaser or Authorising Contact to that Client Lead so the origin and authority of the nomination are clear.
4. Client Lead
Each cohort requires a Client Lead.
The Client Lead is the organisation's principal operational contact for that cohort and is responsible for completing required organisational setup, supporting participation, supplying requested organisational information and making or coordinating decisions requiring client authority.
The Client Lead does not receive unrestricted access to confidential individual participant responses merely by holding that role.
For multi-cohort purchases, the organisation may nominate the same Client Lead for multiple cohorts or different Client Leads for individual cohorts where the PLANERGY AI system supports that configuration.
5. Cohorts
PLANERGY AI is purchased in organisational cohorts.
The current standard cohort sizes are:
- 1–15 participants; and
- 16–30 participants.
A cohort supports a maximum of 30 participants.
Organisations requiring more than 30 participant places purchase multiple cohorts.
Each cohort operates as its own PLANERGY AI evidence unit and may be assigned its own cohort identifier.
Multiple cohorts purchased for the same organisation may be associated with a common parent organisation record.
Purchase of multiple cohorts does not, by itself, include cross-cohort or organisation-wide synthesis beyond the functionality expressly made available as part of the purchased service.
6. Pricing
The price presented at checkout forms part of the purchase.
For Australian purchases, the standard launch prices are:
- 1–15 participants — A$4,990 plus GST
- 16–30 participants — A$9,900 plus GST
Where multiple cohorts are purchased, the checkout will calculate the applicable price for the selected cohorts.
PLANERGY AI may offer authorised promotions, discounts or other pricing arrangements from time to time. Any valid discount applied at checkout modifies the amount payable for that transaction only unless expressly stated otherwise.
7. GST and tax
Australian prices are displayed exclusive of GST unless expressly stated otherwise.
Applicable GST is added at checkout.
For transactions in other jurisdictions, applicable pricing, tax treatment and availability may vary.
PLANERGY AI may restrict purchases from jurisdictions for which the required tax or commercial configuration has not yet been enabled.
8. Payment
Payment must be successfully completed before a purchase is treated as paid.
Payment processing may be provided by a third-party payment provider.
PLANERGY AI does not require or intend to store complete payment-card details within the PLANERGY AI application.
A failed, incomplete, reversed or otherwise unconfirmed payment does not create an entitlement to the program.
9. Invoice and payment records
Planergy Productions Pty Ltd uses its accounting system to issue and maintain official tax invoices where applicable.
A payment processor may separately issue a payment or card receipt.
PLANERGY AI may retain transaction references and accounting-system identifiers necessary to reconcile the purchase and maintain an audit trail.
10. Payment does not activate the program
Payment and program activation are separate events.
Successful payment may create or provision the organisation's PLANERGY AI workspace and initiate setup communications, but it does not automatically commence Day 1 or the 30-day program period.
The program begins only after required setup conditions have been completed and the authorised launch or activation event has occurred.
11. Organisation setup
Before activation, the organisation may be required to:
- confirm its organisational and Client Lead details;
- provide participant information;
- complete organisational induction or setup;
- provide requested contextual or supporting information;
- confirm required decisions or controls; and
- satisfy other reasonable program-readiness requirements presented through PLANERGY AI.
The client is responsible for ensuring information it supplies is accurate and that it has appropriate authority to provide it.
12. Participant invitations and access
The client determines which eligible personnel it invites to participate, subject to the participant capacity purchased.
Participant access is personal and must not knowingly be transferred or shared between individuals.
Participants may be required to accept separate Participant Terms of Use and acknowledge the PLANERGY AI Privacy Policy before participating.
13. Program structure
The Accelerator is a structured 30-day program.
Its activities may include induction, assessment, learning, workflow investigation, evidence collection, simulation, validation, opportunity qualification, implementation activity, measurement and reporting.
Specific activities may vary according to the evidence generated during the program and the organisation's circumstances.
The inclusion of an implementation phase does not guarantee that an implementation will be recommended or undertaken. A valid evidence-based outcome may be that no proposed implementation meets the required criteria.
14. Evidence-driven progression
PLANERGY AI uses evidence generated through the program to inform progression and outputs.
Progression, findings or recommendations are not determined solely by elapsed calendar time.
The system may require evidence, validation, clarification, organisational decisions or other conditions to be satisfied before particular activities or outputs become available.
15. Information supplied by the client
The quality of PLANERGY AI's analysis depends in part on the information supplied by the client and participants.
The client must take reasonable steps to ensure that organisational information supplied to PLANERGY AI is accurate, relevant and lawfully provided.
PLANERGY AI is not responsible for inaccuracies caused by materially incomplete, misleading or incorrect information supplied by the client or its participants, except to the extent required by law.
16. Participant confidentiality
PLANERGY AI is designed to distinguish individual participant evidence from management-facing organisational reporting.
Individual participant answers are not intended to be exposed to client management merely because management commissioned the program.
Management-facing outputs may include participation status, aggregated findings, organisational evidence, qualified opportunities and other outputs permitted by the program's privacy and evidence rules.
The client must not attempt to circumvent PLANERGY AI controls in order to identify confidential individual responses.
17. Pseudonymity and evidence records
PLANERGY AI may use participant identifiers and other controls to reduce unnecessary exposure of participant identity within evidence processing.
Pseudonymity does not mean that all information is anonymous.
PLANERGY AI may retain the ability, under controlled conditions, to associate a participant identifier with the relevant participant record where necessary for legitimate program administration, security, auditability or legal obligations.
18. AI-assisted processing
PLANERGY AI uses artificial intelligence and automated systems as components of its program and analysis.
AI-assisted outputs may contain errors, omissions or uncertainty and must be considered within the human-review and evidence controls provided by the program.
The client remains responsible for decisions it makes using PLANERGY AI outputs.
PLANERGY AI does not represent AI-generated material as infallible or as a substitute for appropriately qualified human judgement.
19. Client decisions and human authority
PLANERGY AI may identify, analyse or qualify opportunities and may support implementation planning.
The client retains authority over whether and how an operational change is approved and implemented.
PLANERGY AI does not assume the client's management, employment, regulatory, professional or governance responsibilities.
20. Professional advice
Unless expressly agreed otherwise in writing, PLANERGY AI does not provide legal, accounting, financial, medical, clinical, employment, cybersecurity certification or other regulated professional advice.
Where a proposed action raises specialist legal, regulatory, financial, safety, security or professional issues, the client is responsible for obtaining appropriate specialist advice.
21. No guaranteed commercial outcome
PLANERGY AI does not guarantee a particular financial saving, productivity improvement, revenue increase, implementation count, AI maturity level, certification outcome or other commercial result.
Any estimates, opportunities or indications presented through the program depend on the evidence and assumptions on which they are based.
22. Intellectual property
PLANERGY AI and Planergy Productions Pty Ltd retain all rights in their pre-existing and independently developed intellectual property, including program architecture, methodologies, software, workflows, templates, models, frameworks, question structures, analysis systems, report structures, branding and proprietary know-how.
Purchasing the program does not transfer ownership of PLANERGY AI intellectual property to the client.
Subject to these Terms, the client may use the reports and client-specific outputs supplied to it for its own internal organisational purposes.
23. Client materials
The client retains its rights in materials and information it supplies to PLANERGY AI.
The client grants Planergy Productions Pty Ltd the limited rights reasonably necessary to host, process, analyse and otherwise use those materials for delivery, security, support, audit and administration of the purchased service.
PLANERGY AI does not acquire ownership of the client's underlying intellectual property merely because it is supplied during the program.
24. Confidentiality
Each party must take reasonable steps to protect confidential information received from the other party and use it only for purposes connected with the program or as otherwise authorised or required by law.
This obligation does not apply to information that is already lawfully public, was independently developed without use of the confidential information, was lawfully obtained from another source without confidentiality restriction, or must be disclosed by law.
Participant confidentiality is additionally governed by the PLANERGY AI Privacy Policy and program controls.
25. Privacy
Personal information is handled in accordance with the PLANERGY AI Privacy Policy and applicable law.
The client must ensure it has appropriate authority or lawful grounds to provide personal information to PLANERGY AI.
Where the client supplies participant contact information for program administration, the client is responsible for ensuring that its collection and disclosure of that information is lawful.
26. Third-party services
PLANERGY AI relies on third-party infrastructure and service providers for functions such as hosting, communications, payment processing, accounting and AI-assisted processing.
Those services may experience outages, delays or changes outside PLANERGY AI's reasonable control.
PLANERGY AI remains responsible for its own obligations but does not warrant uninterrupted availability of third-party infrastructure.
27. Security
PLANERGY AI uses technical and organisational controls intended to protect information and maintain appropriate separation between client organisations.
No internet-connected service can guarantee absolute security.
The client must protect access credentials and secure links and promptly notify PLANERGY AI if it becomes aware of suspected unauthorised access or misuse.
28. Acceptable use
The client and its participants must not knowingly:
- attempt to access another organisation's information;
- circumvent access, privacy or security controls;
- interfere with the operation of PLANERGY AI;
- introduce malicious code;
- use the service unlawfully;
- impersonate another user; or
- attempt to extract or reproduce proprietary system logic beyond the client outputs legitimately provided to them.
29. Cancellation before activation
Before program activation, the client may request cancellation.
Where PLANERGY AI authorises cancellation and refund, access or provisioning associated with the cancelled purchase may be terminated.
Nothing in this section limits rights or remedies that cannot lawfully be excluded.
30. Cancellation and refunds after activation
Because activation commits program capacity and commences delivery of the service, PLANERGY AI does not ordinarily provide discretionary change-of-mind refunds after activation.
This does not exclude, restrict or modify any guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
Where a refund, cancellation or other remedy is required by law, or otherwise expressly authorised by PLANERGY AI, PLANERGY AI will process the applicable remedy and adjust access where appropriate.
A request for review does not automatically terminate program access while the matter is being assessed.
31. Suspension and termination
PLANERGY AI may suspend or restrict access where reasonably necessary to address:
- a material security threat;
- suspected fraud or unauthorised access;
- unlawful use;
- a material breach of these Terms;
- a payment reversal affecting entitlement; or
- circumstances where continued access would materially threaten the service, another client or another person's information.
Where reasonably practicable, PLANERGY AI will seek to resolve the issue with the client.
If an authorised cancellation or refund terminates entitlement to the program, PLANERGY AI may terminate program access and future program communications while retaining records required for accounting, audit, security, dispute management or legal compliance.
32. Service availability and changes
PLANERGY AI may make reasonable changes to the service to maintain, secure or improve it.
PLANERGY AI will not use this clause to materially remove the core purchased service without an appropriate remedy where required by law.
Maintenance, security events, third-party outages and circumstances beyond reasonable control may temporarily affect availability.
33. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or other protection that cannot lawfully be excluded, restricted or modified.
Where the Australian Consumer Law applies, PLANERGY AI will comply with those obligations.
34. Liability
To the maximum extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable as a result of the relevant breach or event.
Any limitation or exclusion in these Terms operates only to the extent permitted by applicable law and does not exclude liability that cannot lawfully be excluded.
The client remains responsible for its operational decisions and for independent professional review where reasonably required.
35. Changes to these Terms
The version accepted at checkout governs that purchase unless the parties lawfully agree otherwise or a change is required by law.
PLANERGY AI may publish updated Terms for future purchases.
An updated version will not retrospectively replace the version recorded against an existing purchase merely because a newer version is published.
36. Notices and communications
PLANERGY AI may send transactional and program communications to the contact details supplied by the client.
The client is responsible for maintaining accurate contact information.
Formal notices relating to a dispute or legal matter should be sent using the contact method published by Planergy Productions Pty Ltd for that purpose.
37. Governing law
These Terms are governed by the laws applicable in Queensland, Australia.
The parties submit to the courts of Queensland and courts entitled to hear appeals from them, subject to any rights or jurisdictional protections that cannot lawfully be excluded.
38. Entire agreement
These Terms, the accepted purchase details and any other document expressly incorporated into the purchase constitute the agreement concerning the purchased PLANERGY AI program.
If a separately executed written agreement expressly overrides part of these Terms, that written agreement prevails to the extent of the inconsistency.
39. Severability
If any provision of these Terms is invalid, unlawful or unenforceable, it is to be read down to the extent necessary where legally possible. If it cannot be read down, that provision may be severed without invalidating the remaining provisions.
40. Contact
Questions about these Terms or the PLANERGY AI service may be directed through the contact details published on the PLANERGY AI website.
